The lawyers in the Business Law Department have acquired a solid expertise in corporate and equity transactions (partial contributions of assets, mergers, demergers), both on the domestic and international markets, for companies (listed and unlisted) as well as for banks and investment funds. They assist clients at all stages of the transaction: confidentiality and exclusivity agreements, offer letters, audits, structuring of the transaction, drafting and negotiation of the documentation, completion of the transaction and follow-up of post-transaction operations.

For these complex transactions, often with international aspects, the Department is able to mobilize and coordinate lawyers who are experts in adjacent disciplines and high-quality foreign lawyers. Our lawyers thus provide a global approach to the cases at hand as part of an integrated service. Several of them also practice alternative dispute resolutions (mediation, conciliation, arbitration, settlement, participative procedure, collaborative law).

The firm also offers proven expertise in business criminal law and press law. It assists its clients in cases of civil or criminal liability of company directors. Moreover, it participates in audits and provides training on all the risks that its clients are potentially confronted with in their business sector.

International

Our law firm is resolutely turned towards the international. We assist our clients who are French companies in their international activities, as well as assist international companies established in France, or for their operations in France. We also intervene in the context of transnational operations and disputes and ensure the coordination of all the foreign actors involved. Our teams are multicultural and work daily in French, English, Spanish, Italian, German and Vietnamese.

We are members of the international PRIMERUS network, which includes nearly 200 leading law firms in 40 countries on 5 continents. This network represents a strength that we make available to our clients, but jasper avocats remains independent: our choice of a local correspondent is always guided by the desire to find the best expert and the most relevant contact for our clients.

Furthermore, we are very involved with the International Union of Lawyers (UIA) which allows us to regularly exchange with colleagues on the evolution of the law in our sectors of activity. This organization brings together more than 2,200 individual members and 200 bars, federations and associations in 110 countries.

Law of Associations and Foundations

The Law of Associations and Foundations department advises and assists its clients in structuring, financing and promoting the associative approach.

The department has a strong expertise in legacies and donations, and works to defend the interests of associations and foundations in the context of gifts granted to them, before notaries or the courts (interpretation of wills, judicial delivery of legacies, actions relating to real estate received, proceedings relating to life insurance, as well as any other litigation generated by these gifts).

We also intervene at all stages of the life of these non-profit organizations, from their creation to their eventual transformation or dissolution. We offer them the most suitable legal schemes and then accompany them in their development. Furthermore, we can help them manage their administrative procedures and even their relations with their employees, whether they are volunteers or employees.

Finally, we assist them in all types of pre-litigation or litigation situations, which may involve their responsibility or in which they would seek the responsibility of a third party, both before civil and criminal courts.

This is a singular and relatively new offer but generosity must be simple and transparent. Giving and receiving require organization and knowledge of good practices and rules to respect.
